ORION — Table of Authorities Generator
======================================

Version 3.27.0

WHAT ORION DOES
---------------
Orion reads a federal brief in Word, finds the legal citations, and
writes a new copy of the brief with a finished Table of Authorities
inserted. Your original file is never modified.

It handles cases (reporters, slip opinions, Westlaw/Lexis), statutes,
regulations, court rules, constitutional provisions, Sentencing
Guidelines, model codes, session law, and secondary sources (books,
articles, newspapers, websites, reports). It resolves Id., supra, and
short-form citations, applies passim, collapses page ranges, and can
hyperlink each entry to its first citation in the brief.

Orion does NOT check whether a citation exists, is current, or is
correctly formatted. Review the table before you file.

Orion runs entirely on your computer. Nothing from your brief is sent
anywhere. See "Privacy" below.

REQUIREMENTS
------------
- Windows 10 or 11
- Microsoft Word (2019, 2021, or Microsoft 365)

INSTALLATION
------------
MSI installer: double-click and follow the prompts. Orion appears in
the Start menu.

ZIP: unzip the folder to any location and double-click Orion.exe.

If Windows shows "Windows protected your PC" (SmartScreen), click
"More info" then "Run anyway." This appears because the app is not yet
code-signed.

If you get "Windows cannot access the specified device," right-click
Orion.exe and choose Run as administrator, or ask your IT department
to allow the app.

GETTING STARTED
---------------
1. Prepare your brief with a blank page where the TOA should go
(usually after the Table of Contents). The page can be empty or
contain the text "[INSERT TOA HERE]"; Orion will replace it.
2. Click "Browse" or drag the brief (.docx) onto the Orion window.
3. The output file defaults to the same folder (brief_with_toa.docx).
4. Click "Generate TOA." The defaults are right for most briefs;
"Advanced options" holds formatting and content settings.
5. Open the output, review the table, and file.

If Orion reports short-form citations it could not match, check those
first: each one is either a full citation Orion missed or a citation
whose full form is missing from the brief.

TRIAL AND LICENSE
-----------------
Orion includes a 60-day free trial with full functionality. Trial
status appears in the title bar. When the trial ends, Orion stops
generating tables until a license is installed.

To activate a license: Help -> Activate License, then select the
.lic file you were sent. For office licenses, your IT department can
instead place the file at C:\ProgramData\Orion\license.lic on each
computer. A license that has expired keeps working for 14 days.

To request a license or an evaluation: support@oriontoa.com

PRIVACY
-------
- Orion processes your brief on your computer and does not upload,
transmit, or store it anywhere else.
- The only network request Orion makes is a check of oriontoa.com
for a newer version. It sends the Orion version number and nothing
  else.
- Orion keeps a small local log of timings, counts, settings, and error
messages (Help -> Save Support Log). The log never contains document
text, citation text, or file names, so it is safe to attach to a
support email. Nothing is sent unless you send it.
- Please do not send client documents to support.

UPDATING
--------
Orion checks oriontoa.com at launch and shows a notice when a newer
version is available. If Orion was installed by your IT department,
ask them to deploy the update. Otherwise download the new version
from https://oriontoa.com and install it over the old one. Your
settings and license are kept.

REPORTING PROBLEMS
------------------
Help -> Report Issue opens a pre-filled email to support@oriontoa.com.
Describe what happened and, if you like, attach the support log.
Support is best-effort; there is no guaranteed response time.

LICENSE AGREEMENT
-----------------
ORION — TABLE OF AUTHORITIES GENERATOR
END USER LICENSE AGREEMENT

Copyright (c) 2026 Samuel Cross / Orion TOA. All rights reserved.

This agreement ("Agreement") is between you (an individual or the
organization you are authorized to bind, "you") and Samuel Cross d/b/a
Orion TOA ("Orion TOA"). By installing or using the Orion software
("Software"), you agree to these terms. If you do not agree, do not
install or use the Software.

1. WHAT THE SOFTWARE DOES
Orion reads a Microsoft Word brief, identifies legal citations, and
writes a new copy of the brief with a Table of Authorities inserted.
It does not check whether a citation exists, is current, or is
correctly formatted, and it does not modify your original file.

2. LICENSE GRANT
Orion TOA grants you a non-exclusive, non-transferable license to
install and use the Software according to the license type you hold:
   a. Trial: use on one computer for 60 days from first launch, for
      evaluation only.
   b. Evaluation license: use within the named organization, for the
number of users and the period stated in the license file, for the
      purpose of evaluating the Software.
   c. Individual license: use by one named person on computers that
person uses, for the period stated in the license file.
   d. Office license: use by up to the number of attorneys and staff
stated in the license file, within the named organization, for the
period stated in the license file.
   License files are signed. Seat counts are an honor-system limit;
the Software does not meter or report usage.

3. RESTRICTIONS
You may not (a) copy or redistribute the Software or any license file
   except for internal deployment within a licensed organization;
   (b) sell, rent, lease, sublicense, or host the Software for third
parties; (c) reverse engineer, decompile, or disassemble the Software
   except where the law permits it notwithstanding this restriction;
   (d) alter, forge, or circumvent license files or the trial period;
or (e) remove any proprietary notices.

4. OWNERSHIP
The Software is licensed, not sold. Orion TOA retains all right,
title, and interest in the Software. Your briefs and the tables the
   Software generates are yours.

5. YOUR DATA AND CONFIDENTIALITY
   a. The Software runs entirely on your computer. It does not upload,
transmit, or store your documents, citations, or file names
      anywhere outside your computer.
   b. The only network request the Software makes is a check of
oriontoa.com for a newer version, which sends the Software's
version number and no other information.
   c. The Software keeps a local log of processing times, counts,
settings, and error messages for troubleshooting. The log is
designed to contain no document text, citation text, or file
names. Nothing is sent to Orion TOA unless you choose to attach
the log to a support email.
   d. Orion TOA does not want and will not knowingly accept your client
documents or privileged material. Please do not send them.

6. ATTORNEY RESPONSIBILITY
The Software is a drafting aid. It is not legal advice and is not a
substitute for professional judgment. You are solely responsible for
reviewing every table the Software generates before filing it with
any court or tribunal, including the citations listed, those omitted,
their form, and their page references.

7. SUPPORT AND UPDATES
Support is provided on a best-effort basis by email at
support@oriontoa.com. No response time, fix, or feature is guaranteed.
Updates, when released, are available from oriontoa.com and are
   covered by this Agreement.

8. TERM, EXPIRY, AND TERMINATION
This Agreement lasts for the period stated in your license file (or
the trial period). When a license expires, the Software continues to
work for a 14-day grace period and then stops generating tables until
a current license is installed. Orion TOA may terminate this Agreement
if you materially breach it. On termination you must stop using the
   Software. Sections 4, 5, 6, 9, 10, and 12 survive.

9. DISCLAIMER OF WARRANTY
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY
OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE
IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
PURPOSE, ACCURACY, AND NON-INFRINGEMENT. ORION TOA DOES NOT WARRANT
THAT THE SOFTWARE WILL IDENTIFY EVERY CITATION, THAT ITS OUTPUT WILL
BE ERROR-FREE, OR THAT IT WILL MEET THE REQUIREMENTS OF ANY COURT.

10. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, ORION TOA WILL NOT BE LIABLE
FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE
DAMAGES, OR FOR ANY LOSS OF DATA, SANCTIONS, FEES, OR ADVERSE RULINGS
ARISING FROM USE OF THE SOFTWARE OR ITS OUTPUT, EVEN IF ADVISED OF THE
POSSIBILITY. ORION TOA'S TOTAL LIABILITY UNDER THIS AGREEMENT WILL NOT
EXCEED THE FEES YOU PAID FOR THE SOFTWARE IN THE TWELVE MONTHS BEFORE
THE CLAIM AROSE (OR US$100 IF YOU PAID NOTHING).

11. FEEDBACK
If you send suggestions, bug reports, or other feedback, Orion TOA may
use them without obligation to you. Feedback does not give you any
right in the Software or its revenue.

12. GOVERNMENT END USERS
The Software is commercial computer software developed at private
expense. If you are a United States government entity, your rights
are limited to those granted to all other users under this Agreement.

13. GENERAL
This Agreement is governed by the laws of the State of California,
without regard to conflict-of-laws rules. It is the entire agreement
about the Software and supersedes any prior understanding. If any
provision is unenforceable, the rest remains in effect. Orion TOA may
update these terms for future versions; the terms shipped with the
version you install are the ones that apply to it.
